Tuidengzhao Tech provides professional computer systems design, integration, technical consulting, cloud infrastructure, IT security, and related technology services. The specific scope, deliverables, timelines, and fees for each engagement will be detailed in a separate service agreement or statement of work ("SOW") executed between the parties.

Website content is for informational purposes only and does not constitute a binding offer to provide services. Binding service commitments are made only through a signed written agreement.

4. Use of the Website

4.1 Permitted Use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Site.

4.2 Prohibited Conduct

You agree not to:

5.3 Client Materials

Any materials, data, or intellectual property you provide to us in connection with our services remain your property. You grant us a limited license to use such materials solely for the purpose of delivering the agreed services.

6. Client Responsibilities

As a client of Tuidengzhao Tech, you agree to:

  • Provide accurate, complete, and timely information necessary for the performance of services
  • Cooperate reasonably with our team and provide access to relevant systems, facilities, and personnel as needed
  • Obtain all necessary permissions, licenses, and consents required for the engagement
  • Make payments in accordance with the agreed terms and schedules
  • Not use our services for any illegal, unethical, or unauthorized purpose

7. Fees and Payment

Fees for services are set forth in the applicable service agreement or SOW. Unless otherwise agreed:

  • Invoices are due within 15 days of the invoice date
  • Late payments may incur interest at a rate of 1% per month on the outstanding balance
  • All fees are exclusive of applicable taxes, which will be added as required by law
  • We reserve the right to suspend services or terminate the agreement for non-payment

8. Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party during the course of the engagement. Confidential information shall not be disclosed to third parties except:

  • As necessary to perform the services
  • With the disclosing party's prior written consent
  • As required by applicable law or legal process

This confidentiality obligation survives the termination of the agreement for a period of five (5) years.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Tuidengzhao Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with the use of the Site or services.
  • Our total aggregate liability for any claim arising under these Terms or any service agreement shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
  • This limitation of liability does not apply to liability that cannot be excluded or limited under applicable law, such as liability for fraud, gross negligence, or willful misconduct.

10. Warranties and Disclaimers

10.1 Services Warranty

We warrant that our services will be performed in a professional and workmanlike manner in accordance with industry standards. If a client believes our services do not meet this standard, they must notify us in writing within 15 days of delivery, and we will, at our option, re-perform the non-conforming services or provide a pro-rated refund.

10.2 Disclaimer

Except as expressly stated in these Terms or a service agreement, the Site and all content, materials, and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or availability. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tuidengzhao Tech, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Site or services in violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Any content or materials you provide that infringe any intellectual property or other rights

12. Termination

12.1 Termination for Convenience

Either party may terminate a service agreement for convenience by providing 30 days' written notice. Fees for services already performed up to the date of termination shall remain payable.

12.2 Termination for Cause

Either party may terminate a service agreement immediately upon written notice if the other party breaches a material term of the agreement and fails to cure such breach within 15 days of receiving written notice thereof.

12.3 Effect of Termination

Upon termination, the client shall pay all fees due for services rendered up to the effective date of termination. Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification shall survive termination.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemic, strikes, telecommunications or internet outages, and power failures. The affected party shall provide prompt notice and use reasonable efforts to resume performance as soon as practicable.

14. Governing Law and Dispute Resolution

These Terms and any service agreements shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising out of or in connection with these Terms or our services shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within 30 days, either party may submit the dispute to the competent court located in Hefei, Anhui Province, China.

15. Entire Agreement

These Terms, together with any applicable service agreement, SOW, and privacy policy, constitute the entire agreement between you and Tuidengzhao Tech regarding the use of the Site and services, superseding any prior agreements, understandings, or representations.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

17. Waiver

No failure or delay by either party in exercising any right under these Terms shall operate as a waiver. Any waiver must be in writing and signed by the waiving party.

18. Notices

All notices under these Terms or a service agreement shall be in writing and sent to the addresses provided by the parties. Notices may be delivered by email, registered mail, or courier service.
